Associate Counsel

Duties:

The Associate Counsel will provide legal advice and support to Corporate lines of business and Bank branches relating to routine matters, including without limitation, advising and legally analyzing questions regarding estates, trusts, fiduciary relationships and powers of attorney, legal entity and contractual issues, handling of fraud at the branch level and in operations, letter and communication drafting to customers and other parties, compliance, human resources issues, in addition to special assets and collections, etc. Provide legal consultation and research to Corporate lines of business to effectively identify and assess legal, regulatory, and reputational risks; discuss risk mitigation options and potential operational procedure changes to address potential risk exposure. Provide legal consultation and advice to lines of business to help prepare for regulatory exams and/or audits; provide effective legal analysis to assist in resolving regulatory or audit findings or recommendations. Assist with conflict identification and collaboratively work towards resolution by gathering supportive information in preparation for the negotiation, understanding the dynamics of the process, and displaying an effective combination of firmness, tact, patience, and respect in dealing with all parties involved (pre-litigation or consumer complaint). Execute to the extent of authority but recognize and escalate conflict situations that require General Counsel involvement in the decision-making process, when necessary. Individually provide legal advice on strategic projects impacting the Company, but also provide ad hoc collaborative support to other legal teammates, as needed. Keep abreast of changes to state and federal legislation, regulation, regulatory practices, and case law developments impacting the Company and the banking industry and advise the Company relative to its legal rights and obligations. Review marketing material to help identify and correct legal, compliance, and reputational risk exposure.

Requirements

Qualifications:

Associate Counsel I

  • Juris Doctor or equivalent degree from an accredited law school
  • Licensed to practice law, or awaiting bar exam results, in at least one state of the Company's footprint states, with the ability to obtain at least a Corporate Counsel Designation as required in Bank's footprint states
  • Bachelor's or Master's degree in Business, Finance, Accounting, or related field if preferred, but not required, depending on relevant work experience
  • Basic understanding of banking/financial services operations and issues
  • Effective oral and written communication skills
  • Ability to maintain strong productive relationship with other Company lines of business, outside counsel, and team members
  • Effective organizational and time management skills
  • Ability to effectively utilize computer technology with proficiency in all software applications utilized by First Community Bank
  • Ability to simplify, problem solve, multitask, handle a dynamic workload, and work effectively against deadlines
  • Integrity and high moral standards
  • Strong negotiation and conflict resolution skills
  • Ability to work effectively with a team, interacting cohesively across different job junctions and job levels, on collaborative and complex projects
  • Proven self-starter willing to work independently and take on responsibility
  • Strong legal research skills
  • Strong analytical skills and ability to balance business needs with legal risks
  • Key qualifications include decisiveness, sound, practical judgment, strong interpersonal skills, and the ability to effectively prioritize and manage multiple on-going matters
  • Ability to sit in front of a computer for extended periods of time
  • Ability to travel, occasionally overnight

Associate Counsel II

  • Meet all minimum requirements for the Associate Counsel I role
  • Minimum of five (5) years of relevant legal experience
  • Proficiency in all facets of the job, as outlined in the job description
  • Knowledge of GLBA, FCRA, FDCPA, the Uniform Power of Attorney Act, Uniform Trust Code, and Uniform Commercial Code is preferred; knowledge of, and proficiency in, financial institution laws and regulations, including but not limited to, relating to prudential regulation, including safety and soundness provisions applicable to banks and bank holding companies
